An Investment Fund Partnership Agreement (“ILP Agreement”) is a binding written contract between all partners. The ILP agreement is submitted to the CBB. The ILP agreement must include the following minimum information, namely: LP Safe Harbors: If an LP participates in the administration of the ILP, lp loses the benefit of limited liability. The law clarified and expanded the safety rules, which allow LPs to take certain actions without being involved in the management of ILPs (e.B. Sit on advisory committees and approve amendments to the limited partnership agreement (“LPA”). A standard limited partnership agreement (“LPA”) model is an ongoing need in the private equity asset class given the cost, time and complexity of negotiating investment terms. General partners (“PMs”) have an interest in shortening the duration of warranty contracts, providing fundraising security and reducing their fundraising costs. Similarly, limited partners (“LPs”) want fair and transparent terms that explain rights and obligations while reducing their legal negotiation costs. Because partnership laws are well established in common law jurisdictions such as London, New York and Singapore, the ILP Act allows law firms in and/or from those jurisdictions to operate in Bahrain within a legal framework they are familiar with.
The ILP Act also supports investment companies in setting up financial investment funds and gives them access to new financing mechanisms. The Treasury reviews and finances loans with debt proceeds or reserves. At the end of Q4 2020, the central bank consulted guidance on the acceptable characteristics of closed AIFs (“CP132”) that will be relevant to AIFMs interested in using the CAP structure. However, it should be noted that, although the proposed amendments are introduced on the basis of the amendments to the SIP, the Guidelines cover all closed-end fund structures, not just PAPs. In summary, the key elements of the proposed guidelines are as follows: The Unit is working with the Provost Marshal to prioritize the project and include it in a capital plan. ILPA has published two comprehensive APL models based on the Delaware Act that can be used to structure investments in a traditional private equity buyout fund, including an “entire fund” distribution cascade or a “transaction-by-transaction” economic distribution agreement. A number of terms and conditions would apply to the establishment of differentiated classes of shares, including: This is the key document that describes the loan signed by the Senior Vice-President, vice-president and borrowers. Includes maximum authorization, loan term, initial payment date, borrower agreements, and disclosure requirements. Bahrain has undergone a series of reforms in recent years to restore Bahrain`s position as a regional financial center in the Middle East. One of these changes was the introduction of investment limited partnerships and protected cell companies (which we discussed in the December/January 2017 issue of the legislative update). This article focuses on investment limited partnerships and their business advantages from a banking and financial perspective. Bahrain is now a challenger to offshore fund jurisdictions as it has a state-of-the-art limited partnership law, a tax-preferred regime and a sophisticated regulatory system.
It is hoped that the ILP law will give a strong boost to Bahrain`s financial sector and support the growth of real estate funds, private equity funds, venture capital and technology funds, start-ups and Shariah-compliant funds, as well as captive insurance. However, given that the ILP and ILP law has only recently been implemented in Bahrain, it may take some time for ILPs to become widespread and the structure of choice for mutual funds in Bahrain to become somewhat more widespread. Nevertheless, IDPs are expected to improve Bahrain`s competitiveness in the financial services sector by facilitating the structuring of investment activity. Umbrella Ilp: Divided into compartments or “compartments” with separate responsibility, can now be set up. The umbrella structure is attractive because it allows for the integration of distinct strategies or types of investors into different compartments of the same umbrella, rather than having to set up autonomous partnerships for each. Ilp migration: The law provides for the migration of ILPs to and from Ireland. The Act allows the general practitioner of a registered migration partnership in certain recognised jurisdictions required by law to apply for migration to Ireland. Migration partnerships can apply to the Central Bank to be registered as ilp in Ireland.
Additional terms and conditions apply to the use of management classes and the use of excuse and/or exclusion provisions, including the following: Amendments to the PCPA and approval by a majority of SQs: The law removes the requirement for all SQs to approve an amendment to the PCPA. Instead, such an amendment requires the approval of a majority of general practitioners and a majority of LPs. The Act also provides that certain amendments are made without the approval of the SQ if the depositary certifies that the amendments do not affect the interests of the SQs. In addition, in accordance with partnership structures in other jurisdictions, the law allows the PLA itself to make specific arrangements on what constitutes a “majority of sponsors” (e.g. B a majority by value, number or category). The Central Bank proposes to limit the availability of these features to closed AIFs approved as QIAIF (“QIAIF CE”). ILPs clearly designate the body responsible for the management and control of funds. It allows flexibility in the sharing of a fund`s profits. This avoids the requirements of preserving the company`s capital. In addition, clear fiduciary responsibilities are imposed on the general partner.
ILPs provide investors with access and transparency. ILPs are the GCC`s first “onshore” limited partnership. Limited partnerships are the most popular structure for closed-end funds internationally and their structure is understood by international fund investors. ILPs provide clear legislative support for the international selection of popular fund structures. It also offers an additional option to finance project promoters. The ILP is catching up with the Neighbouring Jurisdictions of the Gulf Cooperation Council (“GCC”), namely Dubai, Abu Dhabi and Qatar. ILPs also allow for clear options for investor rights and the flexibility of constitutional documents. An ILP is established under the Investment Limited Partnerships Act 1994 (as amended) and regulated by the Central Bank of Ireland. ILPs are generally set up as qualified investor AIFs (“QIAIF”). QIAIF are generally not subject to investment or credit restrictions under the central bank`s AIF framework, subject to appropriate disclosure to investors. QIAIF can take advantage of the central bank`s 24-hour approval process and can be freely marketed to professional investors throughout the EU and EEA using the AIFMD Marketing Pass.
The guidelines would allow QIIF CE to create differentiated equity categories, and proposals include: Comments on the PLA model can be directed to Chris Hayes, Senior Policy Advisor, ILPA at chayes@ilpa.org. The original version of the LPA “Whole of Fund” model was released in October 2019, and revisions were made in July 2020. A one-page summary of the “Whole Fund” APL template can be found below and here (changes from the original document are described on pages 3 and 4). Also in July 2020, ILPA launched a new “deal by deal” LPA model on the market to provide additional flexibility in the use of the ILPA model. Investor Withdrawal/Redemption: The Act simplifies the process of depositing and withdrawing capital inside and outside ILPs and aligns the process with the process that applies to other Irish fund vehicles and partnership structures in other jurisdictions. The Investment Limited Partnerships (Amendment) Act 2020 (the “Act”) was enacted on 23 December 2020. Some of the key improvements it has made to the ilp structure are as follows: the improvements to the ILP introduced by the Act, as well as the guidelines proposed by the Central Bank, will increase Ireland`s attractiveness as a jurisdiction for funds pursuing private equity, private credit, real and related asset strategies. At Arthur Cox, we have extensive experience advising on the establishment and management of partnerships and other private equity structures. If you need more information or are considering setting up an Irish ILP, please feel free to contact a member of our team. The structure can only be used by alternative investment funds (“AIFs”) and their AIFMs. As such, it is a suitable vehicle for funds pursuing private equity, private credit, infrastructure, real asset and similar strategies. The recently passed Investment Limited Partnerships (Amendment) Act 2020 modernized the ILP structure and aligned it with comparable partnership vehicles in other leading jurisdictions.
An ILP does not have its own legal personality. It has one or more limited partners (“CPs”) (who are similar to shareholders of an investment company or ICAV or shareholders of an investment fund) and a general partner (“GP”) who may enter into contracts on behalf of the ILP. .
